Pursuant to the AIM Italia Regulation, anyone holding at least 5% of a category of financial instruments of Relatech SpA is a \u201cSignificant Shareholder\u201d.<\/p>

An obligation for shareholders to communicate when a shareholding exceeds, either upwards or downwards, the threshold of 5% of the Issuer's share capital or when the thresholds of 5%, 10%, 15%, 20%, 25%, 30%, 50%, 66.6%, and 90% of the Issuer's share capital are reached or exceeded (\u201cRelevant Participations\u201d), or when they fall below such thresholds, and a related suspension of the right to vote on the Shares and financial instruments for which communication has been omitted in the event of failure to notify the Board of Directors of changes in Relevant Participants.<\/p>

To this end, within 4 trading days, starting from the day on which the transaction that resulted in the Substantial Change was carried out, the Significant Shareholder must communicate to Relatech SpA:<\/p>

  1. The identity of the Significant Shareholders involved;<\/li>
  2. the date on which Relatech SpA was informed;<\/li>
  3. the date on which the Material Change in Interests occurred;<\/li>
  4. the price, amount and category of the Relatech SpA financial instruments involved;<\/li>
  5. the nature of the operation;<\/li>
  6. the nature and extent of the Significant Shareholder's participation in the transaction;<\/li>
  7. where the press release concerns a financial product whose value, in whole or in part, is determined directly or indirectly, in relation to the price of the Relatech financial instruments involved, detailed information on the nature of such exposures.<\/li><\/ol>

    The communication must be made using the attached form, sent in advance by email to the address\u00a0investor@relatech.com<\/strong>\u00a0and subsequently to the address\u00a0ir.relatech@pec.it.<\/strong><\/p>
