This section contains information and documents relating to the mandatory public purchase offer (the \u201cOffer\u201d) on the ordinary shares (the \u201cShares\u201d) of Relatech SpA (\u201cRelatech\u201d or the \u201cIssuer\u201d) promoted by Gemini BidCo Srl (\u201cGemini BidCo\u201d or the \u201cOfferor\u201d), pursuant to Articles 102 and 106, paragraph 1, of Legislative Decree 58\/1998 (\u201cTUF\u201d) and Article 10 of Relatech\u2019s bylaws. The Offer is addressed, without distinction and on equal terms, to all holders of Shares and will be promoted exclusively on the Italian market.<\/p>

The Offer is not, and will not be, promoted or distributed, directly or indirectly, in the United States, Canada, Japan and Australia, as well as in any other country in which the Offer is not permitted in the absence of authorization by the competent authorities or other requirements (such countries, including the United States, Canada, Japan and Australia, collectively, the \u201cOther Countries\u201d). The Offer is not, and will not be, promoted using national or international communication or trade tools of the Other Countries (including, by way of example, the postal network, fax, telex, electronic mail, telephone and internet), nor through any structure of any of the financial intermediaries of the Other Countries, nor in any other way.<\/p>

The Offer is and will be made by means of the publication of the offer document by the Offeror, subject to the approval of CONSOB. Before accepting the Offer, holders of Relatech shares are advised to carefully read the documentation on the Offer published in accordance with the law. Acceptance of the Offer by persons resident in countries other than Italy may be subject to specific obligations or restrictions provided for by legal or regulatory provisions. It is the exclusive responsibility of the recipients of the Offer to comply with such rules and, therefore, before accepting the Offer, to verify their existence and applicability, by consulting their own consultants.
